This vault finances PrimeTel's purchase of wholesale voice capacity and collects repayment under defined invoice cycles. Capital providers earn a Mudarabah profit share on each settlement cycle.

Market Context
  • Voice minutes trading is wholesale buying and selling of international telecom call capacity.
  • Routing engines optimise across many suppliers to improve margin, route quality, and unit economics.
Debtor Profile
  • PrimeTel is a Cypriot quad-play telecom operator (mobile, fixed internet, fixed-line, and TV). It operates its own mobile and fiber infrastructure, including landing stations and data centers in Cyprus.
  • PrimeTel holds an estimated 11% share of the Cyprus telecom market and participates in global wholesale carrier trading with a broad partner network.
  • Signal Capital Partners is acquiring the company through the receivership, converting its debt position to equity. It was both a shareholder and PrimeTel\'s primary lender for five years beforehand, so this is a creditor taking ownership rather than a market failure. The acquisition is still in process.
Underwriting Structure
  • The vault funds capacity purchases in near real time through CommTrade-integrated workflows.
  • PrimeTel purchases on a twice-monthly invoice cycle, with each invoice due in 15 days.
Important Notes
  • Invoices issued on the 16th and 1st of each month; payment due 15 days after each invoice.
  • Performance fee (up to 20%) is currently waived for this vault.
  • Standard withdrawals depend on invoice repayment timing.
  • For immediate liquidity, vault bond tokens may be sold on Kodiak, subject to slippage and market depth.

Credit & Recovery
Obligor Credit Quality Medium. PrimeTel defaulted on a loan from Signal Capital Partners in July 2023 and was placed into receivership, and remains under receivership on the Cyprus companies registry today. Signal announced in 2023 that it would acquire the company through that process, but the process has not been concluded on the register and a receiver remains in office. The pattern matches a common private credit practice known as loan-to-own: Signal was already both PrimeTel's shareholder and primary lender for five years before triggering the receivership itself, a sequence more consistent with a negotiated transition by a committed owner than with a disorderly collapse. Trade obligations were never disrupted. PrimeTel holds licensed spectrum, mobile and fibre infrastructure including landing stations and data centres, and roughly 200,000 subscribers. No annual return has been filed since September 2020, so this assessment rests on trade payment behaviour and observable assets rather than on financial statements, and we cannot verify the current value of that asset base. See the full credit assessment for the complete risk factor table.
Structural Protection Trade invoice payments to suppliers continued uninterrupted throughout the 2023 receivership. Before capital is applied, JS Telecom assigns the receivable to SukukFi Ltd and written notice is served on PrimeTel. That assignment is a protection against JS Telecom's insolvency: it is designed to take the receivable outside the supplier's estate. It gives no protection against PrimeTel failing to pay, which is the obligor risk rated above.
Negative Yield Risk Medium. SukukFi has a non-judicial recovery route it uses first: netting balances against another obligor in the telecom interconnection network, rather than collecting from PrimeTel directly. This recovers an estimated 66.66% to 75% of what's owed, over roughly the same 30 days as a normal settlement cycle. Legal action only follows if that route isn't available or doesn't work. At that point PrimeTel could enter insolvency proceedings, and a liquidator decides what gets repaid, not SukukFi. Recovery through the courts could be zero. This comes from SukukFi's own recovery methodology, not an independent audit.
Operational
Invoice Verification Very low. CommTrade confirms delivery before capital is advanced against an invoice. Capital never moves against a claimed invoice, only a verified one. This covers invoice fraud specifically, not a general fraud rating.
Liquidity Risk Medium — primary exit follows invoice repayment timing. Settlements arrive twice monthly on 15net15 terms, so most requests are fulfilled within 15 days.
Fuze Operational Risk Low to medium. LP deposits sit in on-chain vault contracts, not with Fuze. The invoice payment lands in an account in the carrier's name at Fuze, which Fuze operates and from which the carrier cannot move funds itself, then converts to stablecoin and settles to the vault's settlement contract. Because the receivable is assigned before capital is applied, amounts credited to that account are held on trust for the vault. Stablecoin is held segregated and not rehypothecated. Fuze is not yet a party to the assignment, so on a carrier insolvency an officeholder could instruct it to stop; a tripartite Payment Services Protocol and Liability Acknowledgement (JS Telecom, Fuze and SukukFi Ltd), part of the legal pack, is being finalised for execution to close that gap. Residual risk is also timing: Fuze may hold or freeze a balance at its discretion for AML, sanctions, or regulatory reasons, with no fixed settlement window, and its liability is capped at prior-quarter fees, not principal. SukukFi tracks settlement against CommTrade data and maintains a processor-substitution contingency.
Notes
Redemptions follow the 15net15 settlement cycle: PrimeTel pays invoices twice monthly, so most requests are fulfilled within 15 days. For immediate liquidity, vault bond tokens may be sold on Kodiak, subject to slippage.
